Terms of Use

1. The service

iProGrader helps educational institutions check that answer scripts are complete, read handwritten answers, propose marks against the institution's own marking scheme, review those marks and publish results. Features available to an institution will depend on its plan [To confirm: plans]. Features described as pilot or preview may change or be withdrawn.

Pilots run under these terms, our Privacy Notice and a data processing agreement (section 7), with real student data handled the same way as in normal use. [To confirm: whether pilot data is deleted at the end of a pilot, and when.]

2. Who may use iProGrader, and accounts

• iProGrader is for institutions and the staff they authorise. Users must be 18 or older. Students do not hold iProGrader accounts.
• An institution's administrators decide who has access and with which role. The institution is responsible for its users' actions in iProGrader.
• An individual teacher using iProGrader outside an institution's account must have the authority or lawful basis to process the scripts they upload, and is responsible for them.
• Keep your sign-in details to yourself and tell us at once if you believe your account has been misused.

3. The institution's responsibilities

Because the institution is responsible for its students' data, it agrees to:

• have a lawful basis, including parents' or guardians' verifiable consent where the law requires it, for every student whose data it uploads, and record it in iProGrader;
• give its students and their parents or guardians its own privacy notice;
• upload only what the service needs, never Aadhaar numbers, and ask students to keep identifying details out of answer pages except where its stationery provides for them;
• keep its student lists, marking schemes and settings accurate;
• choose the AI models and data-residency settings that meet its own obligations.

iProGrader does not change the institution's obligations under its board's or university's examination regulations. Final marks and the audit trail may be kept as examination records even after a deletion request, as our Privacy Notice explains.

4. AI-proposed marks

Marks proposed by AI are suggestions. They can be wrong, for example with unclear handwriting, unusual methods or a marking scheme that does not cover an answer. The institution's teachers review the marks, and the institution alone decides final results and when to publish them. iProGrader flags uncertain answers for review and never treats a missing or unreadable answer as wrong, but it does not guarantee that every mark is correct.

5. Results, feedback and reports

Marks, feedback text and reports produced for an institution belong to the institution, as they are derived from its content. Feedback written by AI is provided without any promise that it is original or free of error.

6. Acceptable use

You must not:

• use iProGrader for anything unlawful, or upload material you have no right to use;
• try to access another institution's data, test or bypass security, or overload the service;
• copy, reverse engineer or resell iProGrader, except as the law allows;
• put text in scripts or settings designed to manipulate the AI's marking.

7. The institution's data

The institution owns the scripts, student details, marks and other content it puts into iProGrader. It allows us to process that content only to provide, secure and support the service for it, as described in our Privacy Notice and in a data processing agreement between us. [To confirm: data processing agreement, including the sub-processor list and notice of changes.] We may use counts and measurements about how the service performs, which contain no names or other identifying details, to run and improve iProGrader.

We will let the institution export its data while it uses the service and for a period after it stops. [To confirm: bulk export, and the export window after the contract ends.]

We will disclose an institution's data to a government or regulator only where the law compels us to, and will tell the institution first where the law allows.

8. Our rights

iProGrader, this website and their software, design and content belong to YellowParrot or its licensors. These terms give you the right to use iProGrader as described here, not ownership of it. If you send us suggestions, we may use them without obligation to you. We will not name an institution as a customer without its permission.

9. Fees and taxes

Fees are set in the institution's plan or order form, are in Indian rupees and exclude GST, which is added as the law requires. We will issue GST-compliant documents for every payment and supply. [To confirm: invoicing process at launch.] Institutions that deduct tax at source pay the balance and give us the TDS certificate, which we will reconcile against Form 26AS. [To confirm: refund terms for prepaid credits, credit expiry, payment due dates and late-payment terms.]

10. Availability and changes

We work to keep iProGrader available and to give notice of planned maintenance, but we do not promise it will always be uninterrupted or error-free. During pilots the service runs on infrastructure whose recovery targets the pilot institution accepts in writing. [To confirm: any service-level commitment offered.]

We may improve or change the service; we will not remove a core feature an institution has paid for during its current term without telling it first.

11. Suspension and ending

We may suspend access if these terms are seriously breached or if it is needed to protect the service, other institutions or students, with notice where practical. For unpaid fees we will first send reminders and allow at least 15 days to pay. [To confirm: cure period.] Suspension does not delete any data.

Either side can end the agreement as set out in the order form. When it ends, access stops; the institution can still export its data for the export period, after which we will delete it as described in the Privacy Notice.

12. Confidentiality

Each side will keep the other's non-public information confidential and use it only for the agreement, except where the law requires disclosure.

13. Warranties

We provide iProGrader with reasonable skill and care. Apart from that and anything stated in the order form, and as far as the law allows, iProGrader is provided as it is, without other warranties, including about the accuracy of AI-proposed marks.

14. Liability

As far as the law allows, neither side is liable for indirect or consequential loss, or for loss of profit or reputation, and each side's total liability under the agreement in any 12 months is limited to the fees the institution paid for iProGrader in those 12 months. [To confirm: liability cap, and the treatment of data protection breaches, fraud, unpaid fees and the institution's own regulatory penalties.] Nothing here limits liability that the law does not allow to be limited.

15. Indemnity

The institution will compensate us for claims by others that arise from content it uploads without a right or lawful basis to do so. We will compensate the institution for claims that iProGrader itself infringes someone else's intellectual property rights in India. [To confirm: indemnity scope and procedure.]

16. General

• Neither side is responsible for delays caused by events beyond its reasonable control, such as natural disasters, network failures or government action.
• Formal notices are sent by email to the addresses in the order form (for us, the address in section 19). [To confirm: notice addresses.]
• Neither side may transfer the agreement without the other's consent, except to a successor of its business.
• If any part of these terms is unenforceable, the rest still applies. Confidentiality, data, liability and payment terms survive the end of the agreement.
• Students and parents are not parties to these terms, but nothing in them limits rights they have under the law.
• This website is for information only; we do not promise that its content is complete or current.
• If these terms are translated, the English text prevails.

17. Governing law and disputes

These terms are governed by the laws of India. The parties will first try to settle any dispute by talking. [To confirm: whether unresolved disputes go to arbitration under the Arbitration and Conciliation Act 1996, and the seat or the courts with exclusive jurisdiction.]

18. Changes to these terms

We may update these terms. Material changes take effect for an institution at its next renewal unless it agrees to them earlier; other changes take effect when published. The date at the top shows the current version.
